1. Introduction

Welcome to Tyybac. These Terms and Conditions (“Terms”) govern your use of the tyybac.com website (“the Site”) and all purchases of food and beverage products (“Products”) made through it. These Terms form a legally binding agreement between you (“the Customer”) and Cernotas (“we,” “us,” “our”), a company operating under the laws of the United Arab Emirates.

By accessing, browsing, or placing an order on our Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree with any part of these Terms, you must not use our Site or purchase our Products.

2. Eligibility

To place an order on our Site, you must:

• Be at least 18 years of age.
• Possess a valid payment method.
• Provide accurate and complete registration information.
• Be resident in the areas of the UAE that we serve.

3. Products and Pricing

• Product Information: We strive to display all our Products, including their descriptions, ingredients, allergens, and prices, as accurately as possible. However, we do not guarantee that colours, packaging, or other details are perfectly accurate. Product weights and volumes are approximate.
• Allergens: It is the Customer’s responsibility to check the ingredient and allergen information for each Product before consumption. We cannot guarantee that our Products are free from any specific allergen due to the nature of our production and handling environments.
• Pricing: All prices are listed in UAE Dirhams (AED) and are inclusive of Value Added Tax (VAT) where applicable. We reserve the right to change prices at any time without prior notice, though changes will not affect orders already confirmed.
• Availability: All orders are subject to Product availability. If a Product is out of stock after you have placed an order, we will notify you and refund the amount paid for that item.

4. Placing an Order

• The steps to place an order are: (1) Select Products, (2) Review Cart, (3) Create Account/Login, (4) Enter Delivery Details, (5) Choose Payment Method, (6) Place Order.
• When you submit an order, you are making an offer to purchase the Products. A legally binding contract is only formed when we send you an order confirmation email.
• We reserve the right to refuse or cancel any order at our discretion, for reasons including but not limited to: Product unavailability, pricing errors, suspected fraudulent activity, or inability to deliver to the provided address.

5. Delivery

• Delivery Areas: We deliver within specified areas in the UAE. You are responsible for ensuring your delivery address is correct and within our service zone.
• Delivery Timeframes: Estimated delivery times are provided for guidance only and are not guaranteed. We are not liable for delays caused by unforeseen circumstances or factors beyond our reasonable control (e.g., traffic, weather, public holidays).
• Delivery Failure: If a delivery fails because you are unavailable, provide an incorrect address, or refuse delivery, we may charge you for the full cost of the order and any redelivery attempts.

6. Payment

• We accept payment via secure methods such as credit/debit card and other approved online payment gateways.
• Payment is taken in full at the time you place your order.
• By submitting your payment details, you confirm that you are authorized to use the chosen payment method.

7. Returns, Refunds, and Cancellations

• Cancellation by You: You may cancel your order free of charge if you contact us before the order has entered the “processing for dispatch” stage. Once an order is being prepared, it cannot be cancelled.
• Cancellation by Us: We reserve the right to cancel an order. If we do, we will provide a full refund.
• Returns & Refunds for Perishable Goods: Due to the perishable nature of food and beverage Products, we do not accept returns or offer refunds for change of mind or dislike. Refunds or replacements will only be provided at our discretion if the Products are:
  • Damaged upon delivery.
  • Incorrectly supplied.
  • Not of merchantable quality (e.g., spoiled or unfit for consumption).

To be eligible for a refund or replacement, you must notify us within a few hours of delivery and may be required to provide photographic evidence.

8. Intellectual Property

All content on this Site, including logos, text, graphics, and images, is the property of Cernotas or its licensors and is protected by UAE and international copyright laws. You may not use any content without our express written permission.

9. User Account and Conduct

You are responsible for maintaining the confidentiality of your account login details and for all activities under your account. You agree to:

• Provide true, accurate, and complete information.
• Not use the Site for any illegal or unauthorized purpose.
• Not engage in any activity that could damage, disable, or overburden the Site.

10. Limitation of Liability

To the fullest extent permitted by UAE law, Cernotas shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Site or Products, including but not limited to loss of profits, data, or business opportunity.

Our total liability to you for any claim arising from these Terms or your use of the Site shall not exceed the total value of the order in question.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, and the federal laws of the UAE applicable in the Emirate of Sharjah. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Emirate of Sharjah, UAE.

12. Changes to Terms

We reserve the right to modify these Terms at any time. The updated version will be posted on our Site with a new “Last Updated” date. Your continued use of the Site after any changes constitutes your acceptance of the new Terms.
